1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Heiyu Global Limited ("Company," "we," "us," or "our"), a company registered in Hong Kong, located at Stanley Street 75, Central, Hong Kong.

These Terms govern your access to and use of the DressYou mobile application ("App") and related services, including our website (collectively, the "Services").

By downloading, installing, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

2. Eligibility

To use our Services, you must:

• Be at least 13 years of age (or 16 in the European Economic Area)

• If under 18 (or the age of majority in your jurisdiction), have permission from a parent or legal guardian

• Have the legal capacity to enter into a binding agreement

• Not be prohibited from using the Services under applicable law

By using the Services, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information

• Maintain and update your information to keep it accurate

• Keep your login credentials secure and confidential

• Notify us immediately of any unauthorized access to your account

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

3.3 One Account Per User

Each user may maintain only one account. We reserve the right to terminate duplicate accounts.

4. Description of Services

DressYou is an AI-powered wardrobe management and outfit planning application. Our Services include:

• Digital Wardrobe: Upload and organize photos of your clothing items

• AI Analysis: Automatic categorization of clothing by type, color, style, and season

• Outfit Generation: AI-powered outfit suggestions based on your wardrobe

• Style Tracking: Track what you wear and view your style history

• Suitcases: Create virtual packing lists for travel

• Outfit Collages: Create and share visual outfit combinations

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

5. Subscriptions and Payments

5.1 Free and Paid Services

DressYou offers both free and paid subscription plans:

• Subscriptions are billed in advance on a recurring basis (weekly, monthly, or yearly)

• Subscriptions automatically renew unless cancelled before the renewal date

• Prices are subject to change; we will notify you of any price changes before your next renewal

5.3 Payment Processing

• Payments are processed through Apple App Store (iOS) or Google Play Store (Android)

• By subscribing, you agree to the payment terms of the respective platform

• We do not store or have access to your payment card information

5.4 Cancellation

• You may cancel your subscription at any time through your device's subscription settings

• Cancellation takes effect at the end of the current billing period

• No refunds are provided for partial subscription periods

• Upon cancellation, you retain access to Pro features until the end of your paid period

5.5 Refunds

Refund requests are handled according to the policies of Apple App Store or Google Play Store. We recommend contacting the respective platform for refund inquiries.

5.6 Free Trials

• If offered, free trials automatically convert to paid subscriptions unless cancelled before the trial ends

• Trial eligibility is determined at our sole discretion

• Only one free trial per user/device

6. User Content

6.1 Your Content

"User Content" refers to all content you upload, submit, or create through the Services, including but not limited to photos of clothing items, outfit combinations, and profile information.

6.2 Ownership

You retain all ownership rights to your User Content. We do not claim ownership of your photos or personal data.

6.3 License to Us

By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to:

• Store, process, and display your content to provide the Services

• Analyze your content using AI to provide features (e.g., categorization, outfit suggestions)

• Create backups and copies for technical purposes

This license is limited to operating and improving the Services. We will not use your photos for marketing or share them publicly without your explicit consent.

6.4 Content Representations

You represent and warrant that:

• You own or have the necessary rights to your User Content

• Your content does not infringe any third-party rights (copyright, trademark, privacy)

• Your content does not violate any applicable laws

• Your content does not contain malware or harmful code

6.5 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion and without prior notice.

7. Prohibited Conduct

You agree NOT to:

Account Abuse:

• Create multiple accounts or share account credentials

• Impersonate any person or entity

• Provide false information during registration

Technical Abuse:

• Attempt to gain unauthorized access to our systems or other users' accounts

• Reverse engineer, decompile, or disassemble any part of the Services

• Use bots, scrapers, or automated tools to access the Services

• Circumvent any security measures or usage limits

• Interfere with or disrupt the Services or servers

Content Violations:

• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene

• Upload content depicting nudity, violence, or illegal activities

• Upload content that infringes intellectual property rights

• Upload content containing personal information of others without consent

Misuse:

• Use the Services for any illegal purpose

• Use the Services to send spam or unsolicited communications

• Resell or commercialize the Services without authorization

• Use the Services in a way that could harm, disable, or impair the Services

Violation of these prohibitions may result in immediate termination of your account.

8. Intellectual Property

8.1 Our Intellectual Property

The Services, including but not limited to the App, website, logo, design, text, graphics, software, algorithms, AI models, and all other content (excluding User Content), are owned by or licensed to Heiyu Global Limited and are protected by copyright, trademark, and other intellectual property laws.

"DressYou" and our logo are trademarks of Heiyu Global Limited. You may not use our trademarks without prior written consent.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on your personal device

• Access and use the Services for personal, non-commercial purposes

This license does not include the right to:

• Modify, copy, or distribute the Services

• Use the Services for commercial purposes without authorization

• Remove any copyright or proprietary notices

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without compensation or attribution to you.

9. Third-Party Services

The Services may integrate with or contain links to third-party services, including:

• Authentication providers (Apple, Google)

• Payment processors (Apple App Store, Google Play)

• AI services for content analysis

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

10. Disclaimers

10.1 "As Is" Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

• ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT

10.2 AI-Generated Content

Outfit suggestions and style recommendations are generated by artificial intelligence and are provided for informational purposes only. We do not guarantee that AI-generated content will be accurate, appropriate, or suitable for any particular occasion. Use your own judgment when following any suggestions.

10.3 Service Availability

We do not guarantee that the Services will be uninterrupted, error-free, or free of viruses or harmful components. We may experience downtime for maintenance, updates, or unforeseen issues.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

11.1 No Consequential Damages

IN NO EVENT SHALL HEIYU GLOBAL LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill

• Service interruption or computer damage

• Cost of substitute services

• Any damages resulting from your use of the Services

11.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:

• The amount you paid us in the 12 months preceding the claim, or

• USD $100

11.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Heiyu Global Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services

• Your violation of these Terms

• Your violation of any third-party rights

• Your User Content

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in the App (Settings > Account > Delete Account)

• Contacting us at privacy@dressyou.app

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms

• You engage in fraudulent or illegal activity

• Your conduct harms other users or our reputation

• Required by law

• We discontinue the Services

13.3 Effect of Termination

Upon termination:

• Your right to use the Services ceases immediately

• Your User Content may be deleted (subject to our data retention policies)

• Any outstanding subscription fees remain due

• Provisions that by nature should survive (e.g., disclaimers, liability, indemnification) will survive termination

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@dressyou.app to attempt to resolve any dispute informally. We will attempt to resolve disputes within 30 days.

14.2 Arbitration Agreement

If informal resolution fails, you and Heiyu Global Limited agree to resolve any disputes through binding arbitration, rather than in court, except:

• Either party may seek injunctive relief in court for intellectual property infringement

• Small claims court actions are permitted where eligible

14.3 Class Action Waiver

YOU AND HEIYU GLOBAL LIMITED AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.4 Exceptions for EU Users

If you are a consumer in the European Union, you retain the right to bring claims in your local courts as provided by applicable consumer protection laws. The arbitration agreement does not affect your statutory rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.

For users outside Hong Kong, mandatory consumer protection laws of your jurisdiction may apply.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Heiyu Global Limited regarding the Services.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.

16.5 Force Majeure

We are not liable for delays or failures resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet outages.

16.6 Language

These Terms may be translated for convenience. In case of conflict, the English version prevails.

17. Apple App Store Additional Terms

If you download the App from the Apple App Store, you acknowledge:

• These Terms are between you and Heiyu Global Limited, not Apple

• Apple has no obligation to provide maintenance or support for the App

• Apple is not responsible for any claims relating to the App

• Apple is a third-party beneficiary of these Terms

18. Google Play Store Additional Terms

If you download the App from Google Play Store, you acknowledge:

• These Terms are between you and Heiyu Global Limited, not Google

• Google has no responsibility for the App or its content

• Google is not responsible for addressing any claims relating to the App
